Product: MistSeeker Coder — Mathematical & Structural Code Stability Analysis Engine
1. Acceptance of Terms
By accessing or using MistSeeker Coder (the "Software" or the "Service"), you agree to be bound by these Terms of Service ("Terms").
If you do not agree to these Terms, you may not install, access, or use the Service.
2. Description of the Service
MistSeeker Coder is a static analysis engine that evaluates the mathematical, structural, and geometric stability of software code.
It is provided in the following forms:
- Free Version — Limited stability insights (problem existence, total issue count, stability scores)
- Pro Version — Paid subscription offering full analysis (COI / ORI / GSS scores, line-level findings, detailed reports)
- On-Prem Software — Locally installed software requiring license activation
The Service may include updates, improvements, patches, and new features, which may be provided at the Company's discretion.
3. License Grant
Subject to your full compliance with these Terms and any applicable order or subscription, the Company grants you a limited, non-exclusive, non-transferable, revocable license to:
- install and use the Software on your own infrastructure, and
- use the Software solely for your internal personal or internal business purposes,
in each case in accordance with:
- the scope, duration, and limitations of your subscription or license, and
- any usage or activation limits communicated by the Company.
This license is granted, not sold. All rights not expressly granted to you are reserved by the Company.
4. Use Restrictions
You agree that you shall not, and shall not permit any third party to:
Reverse Engineering / Modification
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, or know-how of the Software,
or modify, adapt, translate, or create derivative works of the Software,
except to the extent that such activity is expressly permitted by applicable law.
Sharing, Resale, and Redistribution
Share, distribute, rent, lease, sell, sublicense, loan, republish, host, or otherwise redistribute the Software or any license keys to any third party,
including by providing the Software as a hosted service to third parties, unless explicitly authorized in a separate written agreement with the Company.
License / Security Circumvention
Attempt to bypass, disable, tamper with, or circumvent any license, activation, usage limit, security mechanism, or technical protection implemented in or by the Software.
Competing or Derivative Analysis Engines (including LLM / Cloud Services)
Use the Software, or any output, reports, metrics, or internal logic derived from the Software, to create, train, fine-tune, or improve any competing or derivative code analysis engine, product, or service, including but not limited to:
- AI or LLM-based code analysis tools,
- cloud or SaaS-based static analysis or code stability services,
- plugins or services deployed on platforms such as Vertex AI, BigQuery, or similar environments,
- or any service that is marketed or functions as a substitute for MistSeeker Coder or a similar mathematical/structural code stability analysis engine.
Providing the Software as a Feature or Backend for Third-Party Services
Provide the Software, or any of its core functionality, as a feature, component, or backend engine/API of any product or service that you offer to third parties,
including embedding the Software in a web service, platform, or hosted environment where third parties indirectly use the Software,
except where expressly authorized in a separate written agreement with the Company.
Exposing MistSeeker as a Primary Feature of Third-Party Products
Expose, market, or position the Software's analysis capabilities (including COI/ORI/GSS scoring or similar stability metrics)
as a primary feature of any commercial product, platform, or service offered to third parties,
even if the Software itself is not directly distributed to those third parties.
Unlawful or Misleading Use
Use the Software for any unlawful purpose,
or misrepresent the origin of the Software or its output as being developed by you or a third party, when it is generated by MistSeeker Coder.
If you are unsure whether a specific use is allowed under these Terms, you must obtain prior written consent from the Company.
5. Account Registration & Security
To access certain features of the Service, you may be required to create an account.
When you create an account, the Company may collect:
- a nickname (display name),
- an email address, and
- a password.
You agree to provide accurate information and to keep your account credentials secure.
Password Handling
Your password is stored in a secure, hashed form.
You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.
The Company may suspend or terminate accounts that appear to violate these Terms or involve fraud, abuse, or suspicious activity.
6. User Responsibilities
You are solely responsible for:
- Your own hardware, operating systems, and runtime environment
- Correct installation, configuration, and maintenance of the Software
- Securing all source code, repositories, and project data analyzed by the Software
- Proper handling, storage, and protection of license keys and activation information
- All development, deployment, and operational decisions made based on the Software's analysis results
MistSeeker Coder provides guidance and insights regarding code structure and stability.
However, it does not guarantee:
- the correctness of your code,
- the absence of bugs,
- performance characteristics, or
- security of your systems.
You remain fully responsible for validating and verifying your code and systems.
7. Data & Privacy
MistSeeker Coder operates as on-premise software.
No Source Code Collection
The Company does not collect, transmit, access, or store any user source code.
No analysis data, logs, embeddings, or code content are transmitted to the Company during normal operation of the Software.
Account Information
The Company may collect limited account information for authentication and customer support purposes, including:
- nickname,
- email address, and
- password (stored in hashed form).
Payments
All billing and payment processing for paid plans are handled by Paddle, acting as the Merchant of Record, in accordance with Paddle's own terms and privacy policy.
The Company does not receive or process your payment card details or other sensitive financial information.
Paddle may share your email address and limited purchase details with the Company for license verification, customer support, and fraud prevention.
8. Subscription & Payments
All payments are processed by Paddle, acting as the Merchant of Record.
Taxes, VAT, invoicing, and compliance follow Paddle's policies and applicable law.
If you purchase a subscription, it will renew automatically at the end of each billing period, unless you cancel the subscription before the next billing date.
Pricing, billing frequency, and applicable taxes will be displayed at checkout.
9. Cancellation
You may cancel your subscription at any time via the Paddle Customer Portal or as otherwise instructed in your purchase confirmation.
Cancellation stops future billing only.
The current billing period remains active until its expiry and is non-refundable, unless explicitly stated otherwise in the Refund Policy or required by applicable law.
10. Refund Policy
Refunds are governed by the MistSeeker Coder Refund Policy, which is incorporated into these Terms by reference.
Refund eligibility is determined in accordance with:
- digital-goods regulations, and
- Paddle's buyer protection guidelines.
By completing the purchase and downloading or activating MistSeeker Coder, you acknowledge and agree that:
- the Software constitutes digital on-premise content,
- it cannot be "returned" once downloaded or activated, and
- the right of withdrawal and/or refund may be limited or excluded as permitted under applicable digital content laws.
11. Disclaimer of Warranties
The Software and Service are provided "AS IS" and "AS AVAILABLE", without any warranties of any kind, whether express, implied, or statutory, including, without limitation:
- warranties of merchantability,
- fitness for a particular purpose,
- title, and
- non-infringement.
The Company does not warrant that:
- the Software will be error-free or uninterrupted,
- all instabilities, vulnerabilities, or issues in code will be detected,
- the Software will be suitable for your specific application or environment, or
- use of the Software will eliminate bugs, risks, or vulnerabilities in your systems.
You use the Software at your own risk.
12. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for:
- loss of data,
- business interruption,
- loss of profits, revenue, or goodwill,
- indirect, incidental, special, punitive, or consequential damages of any kind,
- decisions you make or actions you take based on analysis results provided by the Software,
- or any issues arising from your infrastructure, dependencies, or third-party services.
In any case, the Company's aggregate liability arising out of or in connection with the Software or these Terms shall be limited to the total amount paid by you to the Company for the Software during the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms limits or excludes any liability that cannot be excluded under applicable law, including liability for death or personal injury caused by gross negligence or willful misconduct.
13. Termination
The Company may suspend or terminate your access to the Software, license, or Service, in whole or in part, without prior notice, if:
- fraud, abuse, or suspicious activity is detected,
- license sharing, tampering, or unauthorized redistribution is identified,
- payment failure, chargeback, or refund abuse occurs, or
- you materially violate these Terms.
Upon termination:
- your license to use the Software will immediately cease, and
- you must stop using the Software and, if requested, uninstall or destroy any copies in your possession or control, except as required by law.
14. Changes to Terms
The Company may update or modify these Terms from time to time.
Standard changes (minor or clarifying updates) may take effect with at least 7 days' notice.
Material changes (e.g., changes significantly affecting your rights or obligations) will take effect with at least 30 days' notice, where reasonably practicable.
Notice may be provided by:
- updating the "Last Updated" date at the top of these Terms,
- posting an announcement on the Company's website,
- or sending an email to the address associated with your account or purchase.
Your continued use of the Software after the effective date of updated Terms constitutes your acceptance of the changes.
15. Governing Law
These Terms are governed by:
- the laws of the United Kingdom to the extent relevant to Paddle as Merchant of Record, and
- all other applicable international and local regulations governing digital content and software licensing.
Where required by mandatory local law (such as consumer protection rules), such law shall apply in addition to, or in place of, the above to the extent of any conflict.
